Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you to the extent prohibited by applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WINGS OVER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF GOODWILL, LOSS OF DATA, LOSS OF USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

• Your use of, or inability to use, the Site or Services;
• Any food products ordered through the Site;
• Any unauthorized access to or alteration of your transmissions or data;
• Any conduct or content of any third party on or through the Services;
• Any errors, inaccuracies, or omissions in any content on the Site;
• Any delay or failure in performance of the Site or Services;
• Any other matter relating to the Site or Services.

EVEN IF WINGS OVER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN NO EVENT SHALL THE TOTAL CUMULATIVE LIABILITY OF WINGS OVER TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE AND SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO WINGS OVER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some states do not allow the limitation or exclusion of liability for incidental or consequential damages. In such states, our liability shall be limited to the greatest extent permitted by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Wings Over and its respective officers, directors, members, employees, agents, affiliates, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your violation of these Terms or any applicable law, rule, or regulation;
• Your violation of any rights of a third party, including intellectual property rights, privacy rights, or contractual rights;

11. Governing Law and Jurisdiction

You agree that any legal action or proceeding arising under or related to these Terms that is not subject to the arbitration provisions below shall be brought exclusively in the state or federal courts of competent jurisdiction located within the United States in the state where Wings Over is principally located. You hereby irrevocably consent to personal jurisdiction and venue in such courts and waive any objection to the laying of venue of any such proceeding in such courts.

These Terms are subject to and shall be interpreted in accordance with applicable United States federal law, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) with respect to unfair or deceptive acts and practices in commerce, and all other applicable federal and state consumer protection laws. To the extent applicable, the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) may apply to California residents in connection with our Privacy Policy and data practices.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before initiating any formal legal action, you agree to first contact Wings Over by email at [email protected] and provide a written description of the dispute, including the nature of the claim and the relief sought. We will attempt to resolve the dispute informally within thirty (30) days of receiving your written notice. If the dispute cannot be resolved informally within that period, either party may proceed to formal dispute resolution as described below.

12.2 Binding Arbitration

EXCEPT FOR CLAIMS THAT QUALIFY FOR SMALL CLAIMS COURT OR INJUNCTIVE RELIEF TO PROTECT INTELLECTUAL PROPERTY RIGHTS, YOU AND WINGS OVER AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT.

The arbitration shall be conducted by a recognized arbitration organization under its then-current rules and procedures for consumer disputes. The arbitrator shall apply applicable substantive law consistent with these Terms and shall have the authority to award all remedies available under applicable law. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND WINGS OVER EXPRESSLY AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS, WHETHER IN ARBITRATION OR IN COURT, WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU HEREBY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. If any court or arbitrator determines that the class action waiver set forth in this section is void or unenforceable for any reason, then the arbitration agreement in this section shall be null and void with respect to such claims.

12.4 Small Claims Court

Notwithstanding the foregoing, either party may bring an individual action in small claims court if the claim qualifies under applicable small claims court rules and the claim remains in small claims court and is not removed or appealed to a court of general jurisdiction.

13. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Site and Services, or until earlier terminated in accordance with this section.

We reserve the right, in our sole and absolute discretion, to suspend or terminate your access to all or any part of the Site and Services, with or without notice, and without liability to you, for any reason or no reason, including but not limited to:

• Violation of these Terms or any applicable law;
• Conduct that we believe is harmful to the interests of other users, third parties, or our business;
• Provision of false, inaccurate, or fraudulent information;
• Failure to make timely payment for orders;
• Requests from law enforcement or other government authorities;
• Unexpected technical or security issues;

The failure of Wings Over to enforce any provision of these Terms shall not be construed as a waiver of such provision or of the right of Wings Over to enforce such provision in the future. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default of the same or any other provision.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices, guidelines, or policies published by Wings Over on the Site, constitute the entire agreement between you and Wings Over with respect to the subject matter hereof and supersede all prior or contemporaneous negotiations, representations, warranties, understandings, agreements, or communications, whether written or oral, between you and Wings Over regarding such subject matter.
